01About these terms
These Terms & Conditions ("Terms") apply to all services and products provided by Indiavanta Technologies, Agra, Uttar Pradesh, India ("Indiavanta", "we", "us" or "our") to any client or user ("you" or "client").
By visiting this website, requesting a quotation, approving a proposal, making a payment or using any of our software, you agree to these Terms. If a signed proposal or agreement with you says something different, that signed document will apply for that project.
02Our services
We provide the following services and products:
- Website design and development, web portals and custom business software
- Android and iOS mobile app development
- UI/UX design, branding and digital marketing
- API integration (payment gateways, SMS, WhatsApp, GST and other third-party systems)
- AI solutions, chatbots and automation
- Ready-to-use software: School Management System, Hotel Management System and Lead Management System
- Hosting, domain, support and Annual Maintenance Contracts (AMC)
The exact scope of work for each project is the one written in the approved quotation or proposal. Anything not listed there is outside the scope.
03Quotations & proposals
- Quotations are based on the requirements you share with us at the time of the quote.
- A quotation is valid for 30 days from the date it is issued, unless it says otherwise.
- Prices are exclusive of GST and other applicable taxes, which will be added to the invoice as per law.
- Third-party costs such as domain, hosting, SSL, SMS/WhatsApp credits, app store fees, paid plugins or APIs are charged separately unless clearly included in the quotation.
04Upfront & payment terms
- Work starts after we receive the advance (upfront) payment mentioned in the quotation.
- The balance is payable as per the milestones in the quotation, and in full before the final delivery, go-live or handover of source code.
- Invoices are payable within 7 days of the invoice date unless agreed otherwise in writing.
- If payments are delayed, we may pause work, support or access to hosted services until the dues are cleared. Project timelines will shift accordingly.
- Subscriptions and renewals for our software products, hosting and AMC must be paid before the due date to avoid interruption of service.
05Timelines & your responsibilities
We always try to deliver on time. Timelines in a proposal are estimates and depend on timely inputs from you. To keep your project on track, you agree to:
- Provide content, images, logos, login details and other materials on time
- Give feedback and approvals within a reasonable time
- Make sure the content you provide does not violate any law or anyone else's copyright or trademark
- Name one contact person who can take decisions for the project
Delays in inputs, approvals or payments from your side will extend the delivery date.
06Change requests
Every project includes reasonable revisions within the agreed scope. New features, new pages, design changes after approval or changes to the original requirements are treated as change requests. We will share the extra cost and time for such changes, and work on them after your approval.
07Travel time & expenses
Most of our work is done remotely. If you ask for an on-site visit, meeting, installation or training outside Agra, travel, stay and related expenses will be charged at actual cost, along with any visit charges mentioned in the quotation.
08Software products & subscriptions
For our ready-made products (School, Hotel and Lead Management Systems):
- You get a licence to use the software for your own business for the plan and period you have paid for. The software itself remains the property of Indiavanta Technologies unless agreed otherwise in writing.
- You may not resell, copy, reverse engineer or share access to the software with other businesses.
- The data you enter (students, guests, leads, payments etc.) belongs to you. You can request an export of your data while your subscription is active.
- You are responsible for keeping your login details safe and for the actions of users you create.
- Demo accounts are only for evaluation and may be reset at any time.
09Support & maintenance (AMC)
- Free support after delivery is provided for the period mentioned in the quotation, and covers bug fixes in the delivered work.
- After that, support, updates, backups and small changes are available through our paid AMC plans.
- Support does not cover new features, problems caused by changes made by others, third-party service failures, or hosting not managed by us.
- Support requests can be raised by phone, WhatsApp or email during business hours. Urgent issues are handled on priority.
10Hosting, domains & third-party services
Domains, hosting, email, payment gateways, SMS, WhatsApp, maps, app stores and other third-party services are governed by the terms of those providers. We are not responsible for their downtime, price changes or policy changes. Domain and hosting renewals must be paid on time; we are not responsible for loss of a domain, website or data due to non-renewal.
11Copyright, IPR & source code
- For custom development projects, the ownership of the final design and source code made specifically for you is transferred to you after full and final payment.
- Until full payment is received, all work remains the property of Indiavanta Technologies.
- Our own reusable code, libraries, frameworks, tools and ready-made products remain our property. You get a licence to use them as part of your project.
- Open-source components and third-party plugins remain under their own licences.
- We may show your project's name, logo and screenshots in our portfolio, unless you ask us in writing not to.
12Cancellation & refunds
- If you cancel a project after work has started, you will be charged for the work completed up to the date of cancellation.
- Refund requests must be sent in writing to info@indiavanta.com. Eligible refunds are processed within 7 working days of approval to the original payment method.
- Payments made for third-party services (domain, hosting, SSL, credits, app store fees) and for work already delivered or approved are not refundable.
- Subscription fees for software products are not refundable for the period already used.
13Confidentiality
We keep your business information, data, ideas and login details confidential and use them only to deliver our services. In the same way, you agree to keep our pricing, proposals, code and internal documents confidential. This does not apply to information that is already public or must be shared by law.
14Limitation of liability
We take great care in our work, but no software is completely free of errors. To the extent allowed by law:
- We are not liable for any indirect loss, loss of profit, loss of business or loss of data.
- Our total liability for any claim related to a project or product is limited to the amount you paid us for that project or product in the previous 12 months.
- You are responsible for keeping your own backups unless backups are part of a paid plan with us.
15Termination
Either party may end a project or service by giving written notice. We may suspend or end services immediately if payments are not made, if the services are misused, or if these Terms are broken. On termination, you must pay for all work done and services used up to that date.
16Governing law
These Terms are governed by the laws of India. We will always first try to solve any disagreement through discussion. If it cannot be solved, the courts at Agra, Uttar Pradesh will have exclusive jurisdiction.
17Changes to these terms
We may update these Terms from time to time. The latest version will always be available on this page with the "Last updated" date. Ongoing projects continue under the terms that applied when the proposal was approved.
